Selling a business is one of the most important decisions any entrepreneur or management team will make.It is fundamental that the adviser understands the options, and the processes involved in each option and can thereby optimise the value added throughout the transaction. Matters that require specialist skills include: business valuation; consideration structure; project management.
More specifically, our role includes:
- understanding the key business drivers of the enterprise
- analysing the market and the Strengths, Weaknesses, Opportunities, and Threats (SWOT) facing the business
- assisting in the drafting of an Information Memorandum, which will detail the business and provide potential purchasers with sufficient information to enable the proposition to be fully appraised
- compiling a list of potential trade and financial buyers and where appropriate contacting and meeting with the relevant parties
- negotiating with potential purchasers and advising on the detailed terms of offers received
- working with all parties to the transaction including accountants, lawyers and tax advisers, to ensure that the disposal process runs smoothly
- project managing the transaction to a successful completion
